These Terms of Service (“Terms”) govern your access to and use of the Ambriel platform, products, services, websites, and applications (collectively, the “Services”). Please read them carefully. By accessing or using the Services, you (“Customer”, “you”, “your”) agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, you may not use the Services.

1. Scope of Services

Ambriel provides a SaaS platform for fraud detection, risk scoring, sanctions screening, transaction monitoring, and related tools designed to help businesses in industries including fintech, banking, insurance, iGaming, retail, marketplaces, and cryptocurrency exchanges (the “Customer Industry”).

The Services include but are not limited to:

  • Risk Scoring – real-time scoring of transactions, registrations, and user actions.
  • Screening – sanctions, email, phone, and IP address checks.
  • Monitoring – ongoing detection of fraud, crime, politically exposed persons (PEPs), and other risks.
  • Onboarding Protection – detection of fake accounts, bots, and promotion abuse.
  • Compliance Support – tools to assist in AML, CFT, and other regulatory obligations.

Ambriel does not provide financial, investment, insurance, or legal advice. The Services provide probabilistic assessments, not guarantees.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction).
  • Have the legal authority to bind your organization to these Terms.
  • Use the Services only for lawful purposes in compliance with applicable laws, regulations, and industry rules (including AML/CFT, gambling, financial services, data protection, and consumer protection laws).

Ambriel reserves the right to refuse or suspend access if these conditions are not met.

3. Customer Obligations

You agree to:

  • Provide accurate, current, and complete information when creating an account.
  • Maintain the security of your login credentials.
  • Use the Services only in compliance with applicable laws and regulations.
  • Not misuse the Services, including by attempting unauthorized access, reverse-engineering, reselling, or using the Services for fraudulent, harmful, or unlawful activities.
  • Ensure your end-users are informed of and comply with applicable privacy and data protection obligations.

4. Subscription & Payment

  • Services are provided on a subscription basis, subject to the plan and pricing agreed at the time of registration or contract execution.
  • Fees are invoiced and payable as specified in your subscription plan, Master Service Agreement (MSA), or Order Form.
  • All payments are due in the currency specified, exclusive of applicable taxes (VAT, GST, etc.), which you are responsible for.
  • Ambriel may suspend or terminate Services for non-payment.

5. Data Processing & Privacy

  • Use of the Services may involve the processing of personal data. Ambriel acts as a data processor, and you act as the data controller, as defined under applicable data protection laws (e.g., GDPR).
  • Data is processed in accordance with Ambriel’s Data Processing Agreement (DPA), which is incorporated by reference.
  • Ambriel implements technical and organizational security measures to protect customer data.
  • You are responsible for obtaining all necessary consents and authorizations for data you submit to the Services.

6. Intellectual Property

  • Ambriel and its licensors retain all rights, titles, and interests in the Services, including software, documentation, designs, and trademarks.
  • No ownership rights are transferred under these Terms.
  • You are granted a non-exclusive, non-transferable, limited license to use the Services during your subscription term.
  • You may not copy, modify, distribute, or create derivative works of the Services.

7. Confidentiality

  • Both parties agree to maintain the confidentiality of non-public information disclosed in connection with these Terms.
  • Confidential information may not be shared with third parties except as required by law or authorized in writing.

8. Service Availability & Support

  • Ambriel provides Services with commercially reasonable efforts to maintain uptime and performance.
  • Enterprise customers may receive support in accordance with a separate Service Level Agreement (SLA).
  • Ambriel may update or modify the Services, provided such changes do not materially diminish core functionality.

9. Disclaimers

  • The Services are provided on an “as is” and “as available” basis.
  • Ambriel makes no warranties, express or implied, regarding the accuracy, completeness, or fitness of the Services.
  • Fraud detection and risk scoring are probabilistic and do not guarantee the prevention of fraud or compliance breaches.

10. Limitation of Liability

  • To the maximum extent permitted by law, Ambriel is not liable for: Indirect, incidental, or consequential damages. Loss of profits, revenue, data, or business opportunities.

  • Ambriel’s total aggregate liability for all claims under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

  • Ambriel may suspend or terminate access to the Services if you: Breach these Terms. Fail to pay fees when due. Engage in unlawful, fraudulent, or harmful use of the Services.

  • Either party may terminate these Terms for convenience upon thirty (30) days’ written notice.

12. Governing Law & Dispute Resolution
